Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VacayOps software platform, including any related websites, applications, APIs, integrations, and services (collectively, the "Service"), operated by Quiet Function, LLC ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility & Account Registration

You must be at least 18 years old and capable of entering into a binding agreement to use the Service. When creating an account, you agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2. Description of Service

VacayOps is an operational intelligence platform designed for vacation rental managers. The Service provides tools for task management, property operations, financial tracking, guest communications, calendar management, and integrations with third-party platforms including but not limited to Hostaway, QuickBooks, Google Workspace, Telnyx, and Stripe.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Subscription & Payment Terms

Access to the Service requires a paid subscription. Pricing, billing cycles, and payment terms are described on our Pricing page. By subscribing, you authorize us to charge the applicable fees to your designated payment method.

  • Subscriptions renew automatically unless cancelled before the renewal date
  • Fees are non-refundable except as required by applicable law or as expressly stated in these Terms
  • We reserve the right to change pricing with 30 days' notice to active subscribers

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or unauthorized purpose
  • Copy, modify, distribute, sell, lease, sublicense, or reverse engineer the Service
  • Interfere with or disrupt the security, integrity, or performance of the Service
  • Attempt to gain unauthorized access to other accounts, systems, or networks connected to the Service
  • Use the Service to transmit malware, spam, or other harmful content
  • Scrape, mine, or extract data from the Service except through authorized APIs

5. Third-Party Integrations

The Service integrates with third-party platforms. By connecting a third-party service, you authorize us to access and process data as necessary to provide the integration. Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

6. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. You retain ownership of the data you submit to the Service. We claim no ownership rights over your content.

7. SMS Communications

7.1 SMS Privacy

Personal data provided through text services is used solely for message management and delivery. We do not sell SMS opt-in data or phone numbers to third parties for marketing purposes.

7.2 Cost & Frequency

No charges apply for messages from us, though standard carrier data rates may apply. Message frequency varies based on user interaction and includes booking confirmations, property updates, and operational alerts.

7.3 Opting Out

Reply STOP, QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE to discontinue messages.

8. Intellectual Property

All rights, title, and interest in the Service — including software, content, designs, logos, and trademarks — are owned by Quiet Function, LLC or its licensors. These Terms do not grant you any ownership rights to the Service or its intellectual property.

9. Termination

Either party may terminate these Terms at any time. You may cancel your subscription through your account settings or by contacting support. We may suspend or terminate your access if you violate these Terms or use the Service in a manner that poses risk to the platform, other users, or third parties.

Upon termination, your license to use the Service ends immediately. We may retain certain data as required by law or as described in our Privacy Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." QUIET FUNCTION, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUIET FUNCTION, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, REVENUE, OR PROFITS.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Quiet Function, LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Tennessee.

14. Changes to These Terms

We may update these Terms from time to time. We will notify active subscribers of material changes at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
